Terms and Conditions for Publishers

Please read these Terms and Conditions for Publishers ("Terms", "Terms and Conditions") carefully before publishing content on https://www.ludu.co operated by Ludu AB (“Ludu”, "us", "we", or "our").

By publishing lessons and courses on https://www.ludu.co you agree to be bound by these Terms. If there is a conflict between these Terms and the General Terms and Conditions (https://www.ludu.co/terms), these Terms and Conditions for Publishers will govern.

General

Ludu provides an online education platform where Users can access interactive lessons and tutorials in a wide range of subjects, available at https://www.ludu.co (the "Service"). The lessons are provided by you, independent contractors who provide content, pictures, text, graphics, videos etc by publishing a lesson or a course in the platform “Publisher”. The lessons or courses you provide through the Service can either be free or made available for users for a fee.

License to use the published content

Our Service allows you as a Publisher to create lessons and courses by post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Published Content"). You as a Publisher are responsible for the Published Content that you post to the Service, including its legality, reliability, and appropriateness.

By publishing content to the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Published content on and through the Service.

You represent and warrant that: (i) the Published content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of the Published content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

Free and paid courses

As a Publisher it’s up to you to decide if the course you’re providing should be free or not. If you decide to publish a paid course the course will be reviewed by Ludu prior to being made available on the Service. Ludu can at any time remove Published content and/or make the decision to not make course available through the Service if the Published Content conflicts with these Terms or the general terms and conditions for the Service (https://www.ludu.co/terms).

Pricing and payment

If you decide to publish a paid course you will be responsible for determining a base price. The base price is picked from a price matrix made available when publishing the course. The price matrix converts the price to the currency that suits the customer’s country. This means that the base price of a course will vary, according to the price matrix, depending on where the customer comes from.

Please note that the base price set includes VAT.

As a publisher you are entitled to 70 % of the base price on every sale of a course.

Ludu is responsible for the administration and payment for VAT within the European Union, please see more below under “Taxes”.

Stripe account

In order to get paid for Published content the Publisher need to connect their Ludu account to a Stripe account (either new or existing one). In order to create a new Stripe account the Publisher will need to fill a form with personal detail such as name, address, bank details, business details etc which will be shared with Stripe and stored in their servers.

Taxes

As a Publisher you can choose to receive payments personally or to a corporate entity. As a Publisher you understand and agree that you are responsible for any applicable taxes on your income. Ludu is unable to provide you with tax advice and if you are in need of such we ask You to consult your own tax advisor. With regard to sales tax on the sale of your paid courses, the following applies:

In the event the sale of paid course to a User in the European Union is subject to any value added tax ("VAT"), under applicable law, Ludu will collect and remit the VAT to the competent tax authorities for sales of such paid courses to Users in the European Union. Ludu may at its own discretion increase the course price where Ludu is of the view that VAT may be due and Ludu will have a liability to account for such. You will indemnify and hold Ludu harmless against any and all claims by any tax authority for any underpayment of VAT, and any penalties and/or interest thereon on your Publisher revenue or otherwise.

For sales of any of paid courses in countries other than the European Union, you are responsible for following the requirements of the appropriate taxing authority related to sales tax on your paid courses (which may be different to the tax authority in your own location).
